The Vendor Due Diligence (VDD) consists of an assignment audit prepared by independent third parties (specialized consulting firms, lawyers) at the request of shareholders of a company and made available to potential buyers. Appearing initially in continental Europe in the early 2000s in transactions involving investment funds, VDD has become a common practice in M & A transactions.
